The difference between an umpire and a referee

Does anyone have a definitive answer as to what is the difference between an umpire and a referee. I have been looking around the internet and some say that a referee has a whistle and an umpire doesn't, others say that umpires have final decision making abilities, while others say there is no difference other than word derivation.
Does anyone know? Is there a difference?

isn't an umpire for baseball and a referee for soccer/basketball/American football/etc??
I would agree with Kim and add that the umpire is only located behind home plate, whereas referees move all along the field with the movement of the teams.
